Terms of Service

1. Acceptance of Terms

By accessing or using SnapEstimate ("the Service," "we," "us," or "our"), you ("the User," "Contractor," or "Franchisee") agree to be bound by these Terms of Service. If you do not agree to all terms and conditions, you may not use the Service.

2. Nature of the Service & Disclaimer of Accuracy

SnapEstimate provides preliminary, AI-generated estimates based on regional data and user-provided inputs. You acknowledge and agree that SnapEstimate is a preliminary guidance tool, not a binding contract generator.

• We do not guarantee the accuracy, completeness, or profitability of any estimate, labor rate, or material cost provided by the AI.
• You are solely responsible for reviewing and approving all quotes, estimates, and customer communications before honoring them.
• SnapEstimate is not responsible for pricing disputes, lost profits, or material cost fluctuations between you and your customers.

3. Subscription, Billing & Auto-Renewal

SnapEstimate offers paid subscription plans (e.g., Pro Plan at $49/month). By subscribing, you agree to the following:

• Recurring Charges: Your subscription is a recurring monthly charge that will automatically renew and bill your payment method on file each billing cycle until you cancel.
• Cancellation: You may cancel your subscription at any time through the "Manage Billing" button in your portal settings or by contacting us. Upon cancellation, you retain access to paid features through the end of your current billing period. No prorated refunds will be issued for partial billing periods.
• Price Changes: We reserve the right to change subscription pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• Failed Payments: If a payment fails, we may suspend access to paid features until the payment method is updated and the balance is resolved.

4. AI Estimate Accuracy Disclaimer

SnapEstimate generates preliminary reference estimates using AI models trained on localized construction cost data (including Craftsman National Estimator data). YOU ACKNOWLEDGE AND AGREE THAT:

• All estimates are non-binding preliminary ballpark figures intended for informational purposes only. They do not constitute a legal quote, bid, or contract.
• Actual job costs may vary significantly based on site conditions, material selections, labor availability, permit requirements, and other factors not visible to the AI.
• SnapEstimate is not liable for any difference between an AI-generated estimate and the actual cost of work performed.
• Contractors are solely responsible for verifying all pricing before presenting final quotes to their customers.

5. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, infrastructure outages, third-party API failures, and other events may cause temporary downtime. SnapEstimate is not financially liable for lost leads, missed customer inquiries, or any business losses resulting from service interruptions or downtime.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SNAPESTIMATE, ITS FOUNDERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE.

In no event shall our total aggregate liability to you for all claims arising out of or relating to the use of the Service exceed the total amount you paid to SnapEstimate in the twelve (12) months immediately preceding the claim, or one hundred U.S. Dollars ($100.00), whichever is greater.

7. Indemnification

You agree to defend, indemnify, and hold harmless SnapEstimate and its founders from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service.
• Any dispute between you and a homeowner/customer regarding an estimate generated by our AI.
• Your violation of any term of these Terms of Service.

8. Intellectual Property & Trade Secrets

All code, software architecture, UI/UX designs, database schemas, and AI prompts associated with SnapEstimate are the exclusive property of SnapEstimate. You are granted a limited, non-exclusive license to use the platform. You may not reverse-engineer, copy, or attempt to extract the source code or proprietary pricing algorithms.

9. Aggregated Data Rights

While you own the specific PII of your homeowner leads, SnapEstimate retains the right to collect, analyze, and utilize anonymized, aggregated data derived from your use of the Service (such as regional pricing trends, job category demand, and AI performance metrics) for industry reporting, system improvements, and feature development.

10. Binding Arbitration & Class Action Waiver

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration, rather than in court. YOU AND SNAPESTIMATE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
